Virtual Systems partner program terms and conditions

1. Introduction 

By participating in this program, you agree to comply with the following terms and conditions. These terms are designed to ensure a fair and beneficial partnership for all parties involved. 

2. Definitions 

  • Channel Partner: An individual or business entity that actively promotes and sells Virtual Systems’ services to its clients and network. Channel partners can get paid commissions on both referrals as well as partner deals. 
  • Referral Partner: An individual or entity that refers potential customers to Virtual Systems in exchange for a commission on successful sales. Referral partners do not sell Virtual Systems products or services but generate leads that result in sales. 

3. Eligibility  

To be eligible for our Partner Program, you must: 

  • Be at least 18 years old. 
  • Have a valid and active business or personal account. 
  • Comply with all applicable laws and regulations. 

4. Channel Partner Deals 

Engagement of Services 

  • Virtual Systems agrees to provide its services to clients referred by the Channel Partner in accordance with the terms outlined in this agreement. 
  • Channel Partners agree to actively promote and sell Virtual Systems services to their clients and network, utilizing marketing materials provided by Virtual Systems. 
  • To engage in a Channel Partner Program sale, Channel Partners must first register the deal. 

Payment Terms 

  • Commissions will be paid via the payment method specified in your Partner account. 
  • Payments are processed quarterly. 
  • Any disputes regarding commission payments must be raised within 30 days of the payment date. 

Responsibilities of Channel Partners 

  • Channel Partners must provide accurate and truthful information about sales. 
  • Channel Partners must not engage in any fraudulent or unethical behavior. 
  • Channel Partners must lead all parts of the sales process including but not limited to: qualification, discovery, proposals, proposal review, follow-ups, and closing of the deal. If these requirements are not met, the deal may be treated as a Referral Deal and commissioned at the current rates as outlined in Partner Terms and Conditions. 
  • Channel Partners are responsible for their own taxes and legal obligations. 

Termination 

Virtual Systems reserves the right to terminate any Channel Partner’s participation in the program at any time, with or without cause. Upon termination, any unpaid commissions will be forfeited. 

Confidentiality 

Channel Partners must keep all information regarding Virtual Systems and its customers confidential. This obligation continues even after the termination of the partnership. 

Limitation of Liability 

Virtual Systems is not liable for any indirect, incidental, or consequential damages arising from the Channel Partner Program. The total liability of Virtual Systems for any claims related to the Channel Partner Program is limited to the amount of commissions earned by the Channel Partner. 

5. Referral Deals 

Referral Commissions 

  • Referral Partners will receive a commission of $100 per lead. 
  • Commissions are paid quarterly after the invoice is issued. 
  • Referral commissions are paid in a similar manner to channel partner commissions. 

Payment Terms 

  • Commissions will be paid via the payment method specified in your Partner account.

Amendments 

Virtual Systems reserves the right to amend these terms and conditions at any time.
